Payer terms
The terms that apply when you pay, or pay part of something, with Spleetz.
These terms apply when you use Spleetz to pay for something, or to pay part of something. Spleetz is a product of Syndew Technology Inc., a Florida corporation ("Syndew", "we", "us"). By starting a payment through Spleetz, you agree to these terms.
Please read section 11: it contains an arbitration agreement and a class action waiver, and tells you how to opt out.
1. What Spleetz does
Spleetz lets a single payment be split across several people, or across several of your own cards, and collected in one go.
We are a payment technology service. We are not the business you are buying from. The hotel, tour operator, venue, or other merchant is the seller. They are responsible for the goods or services, their price, their availability, and their refund and cancellation policy. We are responsible for the payment mechanics.
Card payments are processed by our payment processor. Your card details are held securely by us in the meantime (see section 3A).
2. Who can use Spleetz
You must be at least 18 and legally able to enter a contract. You must use a card you are authorised to use, in your own name or with the account holder's permission.
3. How a split works
3.1 Someone (you or another participant, the "Organiser") sets up a split for a total amount and decides how it divides, either by percentage or by exact amounts.
3.2 Each participant gets a link or scans a QR code and pays their own share from their own card. You will see the total, your share, and the merchant's name before you pay.
3.3 All shares must be paid within the collection window shown on screen. If everyone pays, the payment completes and the merchant is paid.
3.4 If the split does not complete in time, we release or reverse every share back to the original cards. Nothing is charged, the purchase does not go through, and any booking is not confirmed. Depending on your bank, a released authorisation can take up to 7 to 10 business days to disappear from your statement.
3.5 Depending on how the merchant has set things up, the Organiser may be offered the option to pay the remaining balance themselves. If they take it, that is an ordinary single payment by them.
3.6 Splitting a payment is not credit. Nobody lends you anything, we do not front money on your behalf, and you owe us nothing.
3A. Your card details
3A.1 Paying as a guest. If you are paying from a link or QR code someone shared with you, you do not need an account and you pay using a digital wallet such as Apple Pay. Your card number is never given to us, or to the business you are paying. The wallet supplies a one-time token instead.
3A.2 Saving a card in the app. If you create a Spleetz account and save a card, it is held by our payment processor so it can be charged, and we keep a separate copy that was encrypted on your own phone by Evervault, our card security provider. Evervault holds the key, not us, so although your encrypted card sits in our systems, nobody at Spleetz can read your card number. We keep that copy so we can change payment processor, or retry a declined payment elsewhere, without asking you to enter your card again.
3A.3 We never store your security code (the three or four digits on your card), in either flow.
3A.4 How long we keep a saved card. Until you delete it, or after 24 months without use. You can view and delete saved cards at any time in the app, or by emailing [email protected]. Deleting a card removes it from our payment processor and from our encrypted copy.
3A.5 Merchants never see your card. The business you are paying cannot access, store, or charge your card. They see only the last four digits and the card brand.
3A.6 How it is protected. Evervault and our payment processor are both audited annually at the highest level of the PCI DSS payment card security standard. Because your card is encrypted before it reaches us, Spleetz's own obligations sit at the simplest level of that standard, which we complete annually.
4. What other people in the split can see
Other participants can see your first name or display name, your share, and whether you have paid. They cannot see your card details, email, phone number, or anything else about you. The merchant can see the full participant list and payment statuses so they can reconcile the booking.
If you would rather other participants did not see your name, enter a display name instead.
5. Fees
We do not charge you a fee to pay your share. Your own bank or card issuer may charge you foreign transaction, cash advance, or other fees under your cardholder agreement; that is between you and them.
If a merchant adds any surcharge, it must be disclosed to you before you pay.
6. Refunds, cancellations, and problems with your purchase
6.1 Refunds are issued by the merchant, under the merchant's policy. We do not decide whether you get one.
6.2 When a merchant refunds a split payment, the refund normally goes back pro rata to each card that paid. Your refund goes to the card you used. We cannot send it anywhere else.
6.3 If something is wrong with what you bought (it wasn't delivered, wasn't as described, was cancelled), contact the merchant first. If that doesn't resolve it, contact us at [email protected] and we will share the transaction record and help where we can.
6.4 Nothing in these terms limits your rights against your card issuer. You keep every chargeback and dispute right you have under your cardholder agreement and applicable law.
7. Your responsibilities
You will not: use a card you are not authorised to use; use Spleetz for anything unlawful; provide false information; attempt to interfere with, probe, or reverse engineer the service; or use it to obtain cash.
If we reasonably suspect fraud or misuse, we may decline or reverse a payment and restrict your access.

9. Availability and disclaimers
We aim to keep Spleetz available and working, but we do not promise it will be uninterrupted or error-free. To the maximum extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We are not responsible for the goods or services you buy, for a merchant's conduct, for your bank's decisions, or for another participant failing to pay their share.
10. Limitation of liability
Nothing here excludes liability for fraud, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
Subject to that: we are not liable for indirect, incidental, special, consequential, or punitive damages, and our total liability to you for any claim is limited to the amount of the share you paid through Spleetz in the transaction giving rise to the claim.
11. Disputes: arbitration and class waiver
Please read this carefully. It affects your legal rights.
11.1 Informal resolution first. Before starting any formal proceeding, email [email protected] describing the problem. We will try to resolve it within 60 days.
11.2 Arbitration. If we cannot, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration is conducted by a neutral arbitrator; there is no judge or jury; and review is limited. We will pay the arbitration filing fees to the extent the AAA Consumer Rules require.
11.3 Class waiver. You and Syndew agree to bring claims only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over a representative proceeding. If this paragraph is found unenforceable, the rest of section 11 does not apply to that claim.
11.4 Small claims. Either of us may bring an individual claim in small claims court instead.
11.5 How to opt out. You can opt out of arbitration. Email [email protected] with the subject "Arbitration Opt-Out", your name, and the email address you used, within 30 days of first agreeing to these terms. Opting out does not affect anything else in these terms and will not affect your use of Spleetz.
11.6 Governing law. These terms are governed by the laws of the State of Florida, without regard to conflict of laws rules, except where the mandatory consumer law of your home jurisdiction gives you greater protection.
12. Changes
We may update these terms. The version that applies to a payment is the version shown when you make it. Material changes will be highlighted at checkout.
